Twitter stock was falling Friday night after Elon Musk said he is terminating his deal to buy the social media company, saying that the company breached the terms of the agreement by refusing to provide detailed information about fake accounts on the site.

In a Friday filing that came after the stock market had closed, Musk reported that a letter had been sent to Twitter (ticker: TWTR) terminating the merger agreement. In the text of the letter, Musk said that Twitter had “not complied with its contractual obligation,” and that he was therefore ending the deal.

The original deal required a $1 billion breakup fee, but it remains to be seen whether Musk will fight paying it. Twitter said shortly after the news emerged that it will fight to enforce the merger agreement.

The letter to Twitter, signed by Skadden, Arps, Slate Meagher & Flom attorney Mike Ringler, Musk’s outside counsel for the deal, focused specifically on Musk’s longstanding assertion that Twitter has a larger number of “false or spam accounts.”

In the letter, Ringler said that for nearly two months, Musk has been seeking data to make an independent assessment of the prevalence of spam accounts on the platform, information “fundamental to Twitter’s business and financial performance.” And he alleged that “Twitter has failed or refused to provide this information. Sometimes Twitter has ignored Mr. Musk’s requests, sometimes it has rejected them for reasons that appear to be unjustified, and sometimes it has claimed to comply while giving Mr. Musk incomplete or unusable information.”

The letter goes on to claim that Twitter’s SEC filings contain false information on the same issue. “Mr. Musk has reason to believe that the true number of false or spam accounts on Twitter’s platform is substantially higher than the amount of less than 5% represented by Twitter in its SEC filings,” he wrote.

The letter doesn’t address the question of the $1 billion breakup fee in the original merger agreement.

Twitter intends to force Musk to proceed with the deal. “The Twitter Board is committed to closing the transaction on the price and terms agreed upon with Mr. Musk and plans to pursue legal action to enforce the merger agreement,” Twitter Chairman Bret Taylor said in a tweet. “We are confident we will prevail in the Delaware Court of Chancery.”

Wedbush analyst Dan Ives said in a research note Friday afternoon that Musk’s move is a “disaster scenario for Twitter,” which will now face “an elongated court battle” to either restore the deal or get paid the breakup fee. He predicted that Twitter stock is likely to drop to the $25 to $30 range when it opens for trading on Monday.

Twitter stock was down 6.25% at $34.53 in after-hours trading Friday, while Tesla stock, which was used to back a loan for Musk’s purchase, was up 1.4%.
